澁谷 展由（Nobuyoshi Shibuya） - 弁護士、公認不正検査士

澁谷 展由（しぶや のぶよし）は、会社法、コーポレートガバナンス、企業不正への対応やIT法務を専門とする弁護士、公認不正検査士。1999年に慶應義塾大学法学部法律学科を卒業し、2001年に同大学大学院法学研究科修士課程を修了。2006年に明治大学法科大学院を修了し、2007年に弁護士登録、2015年に公認不正検査士登録をした。複数の法律事務所を経て2018年に琴平綜合法律事務所のパートナーとなり、株主総会・取締役会・指名報酬委員会への助言や役員報酬設計に携わってきた。『東証プライムの役員報酬設計――2025年開示情報版』では、上場会社の開示情報をもとに報酬水準と制度の傾向を分析し、法制度やガバナンス改革の変化と照らして検討した。編著『ジョブ型・副業の人事・法務』では、制度を導入した企業の実例と法的論点を結びつけ、人事制度の見直しや副業解禁に必要な規程・申請書のひな型まで扱った。デジタル庁の地方業務システム法務エキスパートや総務省の情報セキュリティに関する検討会委員として政策にも関わり、児島 幸良との共著『デジタルガバナンス』では、公的指針、企業の実践例、知財戦略を取り上げ、デジタル化の目標設定から実行・監督、株主への開示までを論じた。

Nobuyoshi Shibuya is a lawyer and Certified Fraud Examiner specialising in company law, corporate governance, responses to corporate misconduct, and IT-related legal matters. He graduated in law from Keio University in 1999, completed its master’s programme in law in 2001, and graduated from Meiji University’s law school in 2006. He registered as a lawyer in 2007 and as a Certified Fraud Examiner in 2015. After working at other law firms, he became a partner at Kotohira Partners in 2018. His practice has included advice on shareholder meetings, boards, nomination and remuneration committees, and executive pay. In “Tosho Prime no Yakuin Hoshu Sekkei: 2025-nen Kaiji Joho-ban,” he analysed disclosed information on executive pay levels and compensation arrangements, relating trends to changes in regulation and governance. As editor and co-author of “Job-gata Fukugyo no Jinji Homu,” he connected companies’ experiences of introducing job-based employment and permitting side jobs with legal issues, model rules, and application forms. He has also contributed to public policy as a legal expert on local-government systems at Japan’s Digital Agency and a member of a Ministry of Internal Affairs and Communications study group on information-security guidelines. With Yukinaga Kojima, he co-authored “Digital Governance,” examining public guidelines, corporate practice, and intellectual-property strategy, from setting digitalisation goals to implementation, oversight, and disclosure to shareholders.
