中原 健夫（Takeo Nakahara）- 弁護士

中原 健夫（なかはら たけお）は、企業のコンプライアンス、内部通報制度、保険法務、事業再生・倒産を主な分野とする日本の弁護士。1993年に早稲田大学法学部を卒業し、1998年に弁護士登録。法律事務所での実務の後、2002年から2005年までアメリカンファミリー生命保険会社（現・アフラック生命保険）で企業内弁護士を務めた。あさひ・狛法律事務所、のぞみ総合法律事務所を経て、2008年にほくと総合法律事務所を設立した。生命保険・損害保険会社への法的助言や訴訟対応に加え、内部通報窓口、コンプライアンス態勢の構築、不祥事の調査、企業再生などに携わっている。結城 大輔との共著『公益通報者保護法が企業を変える――内部通報システムの戦略的構築と専門家の活用』では、2004年に成立した法律を背景に、企業が内部通報を受け止める仕組みと専門家の活用を検討した。保険会社での実務とも関わる共著『保険業務のコンプライアンス』は改訂を重ね、第4版では保険募集、銀行窓販、契約管理、保険金支払などの実務を扱い、顧客本位の業務運営や法環境の変化を取り上げた。共著『内部通報システムのすべて』では、2022年施行の改正公益通報者保護法を踏まえ、通報対応体制の設計から受付、調査、是正措置、評価・改善までを整理。企業からの相談や研修を通じて得た知見をもとに、経営陣からの独立性、利益相反、情報管理、ハラスメント通報やグループ会社からの通報など、制度を運用する際の論点を具体的なQ&Aで解説した。

Takeo Nakahara is a Japanese lawyer whose principal practice areas include corporate compliance, whistleblowing systems, insurance law, and business restructuring and insolvency. He graduated from Waseda University’s Faculty of Law in 1993 and was admitted to the bar in 1998. After practicing at a law firm, he worked as an in-house lawyer at American Family Life Assurance Company, now Aflac Life Insurance Japan, from 2002 to 2005. He subsequently worked at Asahi Koma Law Offices and Nozomi Sogo Attorneys at Law before establishing Hokuto Law Office in 2008. His practice has included advice and litigation for life and non-life insurers, external whistleblowing channels, compliance systems, misconduct investigations, and corporate rehabilitation. Co-authored with Daisuke Yuki, “Koeki Tsuhosha Hogoho ga Kigyo o Kaeru” examined the strategic construction of internal reporting systems and the use of outside specialists following the enactment of Japan’s Whistleblower Protection Act in 2004. His experience in insurance also relates to the co-authored “Hoken Gyomu no Konpuraiansu.” Successive editions addressed insurance solicitation, sales through banks, policy administration, and claims payments; the fourth edition added discussion of customer-oriented business conduct and changes in the regulatory environment. In the co-authored “Naibu Tsuho Shisutemu no Subete,” he and his fellow authors examined reporting systems under the amendments that took effect in 2022. Drawing on corporate consultations and training, the book covered system design, receipt of reports, investigations, corrective measures, and review. Its practical questions and answers addressed independence from management, conflicts of interest, information management, harassment reports, and reports involving corporate groups.
